Goodman Networks Announces Issuance of Senior Secured Notes

PLANO, Texas--(BUSINESS WIRE)-- Goodman Networks Incorporated (“Goodman Networks”) announced today that it has issued $225.0 million aggregate principal amount of 12.125% Senior Secured Notes due 2018 (the “Notes”). The Notes were issued at a price of 98.273% of their principal amount and bear interest at a rate of 12.125% per annum, payable semi-annually on January 1 and July 1 of each year, beginning on January 1, 2012.

The initial issuance and sale of the Notes was not registered under the Securities Act of 1933, as amended (the “Securities Act”), or the securities laws of any state or other jurisdiction, and was made pursuant to an exemption from registration provided by Rule 506 under the Securities Act. The Notes were resold by the initial purchasers only to “qualified institutional buyers” in reliance on the exemption from registration pursuant to Rule 144A under the Securities Act and to persons outside of the United States in compliance with Regulation S under the Securities Act. Accordingly, the Notes may not be offered or sold in the United States without registration under, or an applicable exemption from the registration requirements of, the Securities Act and applicable state securities laws.
